Terms of Use
These Terms of Use ("Terms") govern your access to and use of the OnlyUtils platform — the developer console, the HTTP APIs, and the hosted utility services (currently authentication, media, and email) — provided by Laxmana Technologies Private Limited, a company established in Kathmandu, Nepal ("OnlyUtils", "we", "us"). By creating an account, joining an organization, or using the Services, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.
1. The Services and early access
OnlyUtils provides hosted utility services that developers integrate into their own applications. The platform is currently in early access: features may change, be suspended, or be discontinued, and access may be gated by a waitlist or invitation. We will give reasonable notice of material changes where practicable, but early-access services are provided with no availability commitment.
2. Accounts and organizations
You sign in with a supported identity provider (currently Google or GitHub). You are responsible for the security of that identity and for all activity under your account. Organization owners are responsible for who they invite; members act on behalf of the organization. Keep contact information accurate — service and legal notices go to the email address on your account.
3. Your applications and your end users
When you integrate OnlyUtils services into your application, you are responsible for your application and its users. You must: (a) have a lawful basis to collect and process your end users' data; (b) publish and honor your own privacy policy; and (c) not represent that OnlyUtils has a direct relationship with your end users. We process end-user data passing through the Services on your instructions, as described in our Privacy Policy.
4. API use
API credentials (client IDs, secrets, tokens) are confidential. Do not share them, embed secrets in client-side code, or use another customer's credentials. We may impose and adjust rate limits and quotas to protect the platform. Do not probe, scan, or test the vulnerability of the Services except through a coordinated disclosure to ops@onlyutils.com.
5. Email service terms
If you connect an outbound email account or send email through the Services, you additionally agree that you: (a) own or are authorized to use the connected mailbox and credentials, and remain subject to your mailbox provider's terms (e.g., Google's for Gmail app passwords); (b) will only send email that recipients have consented to receive or that you may lawfully send under applicable law (including CAN-SPAM, CASL, and GDPR/ePrivacy); (c) will honor unsubscribe requests promptly; and (d) will not send spam, phishing, malware, or deceptive content. We may suspend email sending immediately to protect deliverability or comply with law.
6. Media service terms
You are responsible for content you or your users upload. Do not upload content that is unlawful, infringing, malicious, or that you lack rights to store and distribute. We may remove content and suspend access where we reasonably believe this section is violated or where required by law.
7. Acceptable use
You will not use the Services to: violate any law or the rights of others; distribute malware; conduct denial-of-service or other attacks; mine cryptocurrency; circumvent quotas, metering, or access controls; or resell the Services as your own without our written agreement. You will not reverse engineer the Services except where a legal right to do so cannot be waived.
8. Your content; our license to operate
You retain all rights to content and data you submit to the Services ("Customer Content"). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and secure the Services, comply with law, and follow your instructions. We do not sell Customer Content and do not use it to train machine-learning models.
9. Our intellectual property
The Services, including software, documentation, and branding, are owned by OnlyUtils and its licensors. These Terms grant no rights other than the limited right to use the Services. Feedback you choose to send may be used without obligation to you.
10. Fees
The Services are currently provided without charge during early access. If we introduce paid plans, we will provide pricing and reasonable advance notice; continued use after the notice period constitutes acceptance of the fees for future use.
11. Suspension and termination
You may stop using the Services and request account deletion at any time. We may suspend or terminate access for material breach of these Terms, security risk, legal requirement, or extended inactivity during early access. Where practicable we will give notice and an opportunity to export Customer Content. Sections 8–9 and 12–15 survive termination.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EARLY-ACCESS SERVICES MAY CONTAIN DEFECTS AND ARE NOT WARRANTED TO BE UNINTERRUPTED OR ERROR-FREE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) US$100 AND (B) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.
14. Indemnification
You will defend and indemnify OnlyUtils against third-party claims arising from your application, your Customer Content, your end users, or your breach of Sections 3–7, except to the extent caused by our breach of these Terms.
15. Governing law
These Terms are governed by the laws of Nepal. The courts of Kathmandu, Nepal have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and each party consents to that venue. The contracting entity is Laxmana Technologies Private Limited.
16. Changes to these Terms
We may update these Terms. For material changes we will notify you (email or console notice) at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
